M&A and Business Development Officer
Function
The M&A and Business Development team is responsible for all M&A and business activities across the Elia Group (local and internationally) from identifying new business opportunities, shaping, and landscaping the environment, identifying concrete opportunities, to deal execution including conduct negotiations, due diligence process, and ultimately negotiation of definitive transaction agreements. Based at the corporate headquarters in Brussels, the M&A and BD team consists of a small and agile cell fully supporting the Elia strategic agenda by identifying and delivering on the prioritized strategic external growth opportunities.
To strengthen our team, we are looking to hire a M&A and Business Development Officer with a specific focus on the M&A projects within Elia Group.
As part of the M&A and Business development team, you will be responsible for creating long term value through identifying and attracting new business opportunities in the field of electricity transmission infrastructure in Europe.
Key responsibilities will include:
- Target company financial analysis: develop, review and/or maintain financial models, perform sensitivity analyses and cross check with other valuation methodologies (e.g. comparable, precedent transactions, …).
- Due diligence and project coordination: lead/support key due diligence streams and ensure cross-functional collaboration (e.g. tax, controlling, legal, technical…). Assess due diligence results and make recommendations for their financial and / or legal impact.
- Coordinate with external stakeholders (advisors, lawyers, partners).
- Transaction support:
- Assist in drafting agreements (engagement letters, term sheets, SHA, SPA…).
- Build presentations for key stakeholders (c-suite, board).
- Support the structuring and post-merger integration of the transaction.
- Create opportunities for the company through long term partnerships or deals that leverage the value of the company’s skills and knowledge. Managing and retaining relationship with key business players. Building and leveraging relationships founded on trust and integrity to facilitate opportunities.
- Market and industry research.
- Support the development of greenfield opportunities.
- Support strategic initiatives within the broader group.
Your Profile
- University degree in management, finance, economy, or engineering.
- A good knowledge of or degree in corporate finance is needed.
- At least 3/5 years of M&A experience in a utility firm, prominent investment bank, private equity fund, consulting firm and/or in a corporate BD/M&A function of a multinational corporation.
- Exposure to M&A transactions with good understanding of valuation techniques, financial analysis, due diligence and key disciplines affecting M&A transactions (finance, accounting, tax, legal, etc.).
- Self-starter personality and initiative taker with strong personal motivation and drive.
- Reliability with continuous attention to detail.
- Ability to thrive in a fast-paced, high-pressure environment.
- Excellent communication skills in English (oral & written), Dutch or French is a plus.
- Experience in the energy/utility sector is a definite plus
- Willingness to travel occasionally abroad.
